Please read these Terms of Service (“Terms”) carefully before using Lytics AI (the “Service”) operated by Lytics AI, Inc. (“Company,” “we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service in any way, you confirm that you are at least 16 years of age and have the legal capacity to enter into this agreement. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Lytics AI provides a cloud-based data analytics platform that allows users to ingest data, apply AI-powered transformations, build visualizations, create reports, and share insights with their teams. The Service is provided “as is” and “as available” subject to these Terms.

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with reasonable notice, except in cases of emergency or legal obligation.

3. Account Registration

You must register for an account to access most features of the Service. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and accept responsibility for all activity under your account.
  • Notify us immediately of any unauthorized use of your account.
  • Not share your account credentials with third parties.

We reserve the right to suspend or terminate accounts that violate these Terms or are found to be fraudulent.

4. Acceptable Use

You agree not to use the Service to:

  • Upload or process data that you do not have the legal right to use.
  • Violate any applicable local, national, or international laws or regulations.
  • Transmit malware, viruses, or any code of a destructive nature.
  • Attempt to gain unauthorized access to other accounts or systems.
  • Use automated tools to scrape, crawl, or extract data from the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Process personal data of individuals without appropriate legal basis or consent.
  • Resell or sublicense the Service without our written consent.

Violations of this section may result in immediate account termination and, where appropriate, referral to law enforcement.

5. Your Content

You retain ownership of all data, files, and content you upload to the Service (“Your Content”). By uploading Your Content, you grant us a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely as necessary to provide the Service to you.

You are solely responsible for ensuring that Your Content does not violate any third-party rights or applicable laws. You represent that you have all necessary rights to upload and process Your Content on the Service.

We do not use Your Content to train AI models or share it with third parties except as described in our Privacy Policy.

6. Intellectual Property

The Service, including its software, design, trademarks, and documentation, is owned by or licensed to Lytics AI, Inc. and is protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or trade names.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes, subject to these Terms.

7. Subscriptions and Payments

Free plan: The free tier is provided at no charge. We reserve the right to modify or discontinue the free tier with 30 days' notice.

Paid plans: Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in a refund policy.

Price changes: We may change subscription prices with at least 30 days' notice. Your continued use after the effective date constitutes acceptance of the new pricing.

Taxes: All fees are exclusive of taxes. You are responsible for all applicable taxes.

Failed payments: If a payment fails, your account may be downgraded to the free tier after a 14-day grace period. We will email you before taking this action.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. AI-generated outputs are probabilistic in nature and may contain errors. You are responsible for validating any AI transformation results before relying on them.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LYTICS AI, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

10. Indemnification

You agree to indemnify, defend, and hold harmless Lytics AI, Inc. and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and costs (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

11. Termination

You may terminate your account at any time by going to Settings → Account → Delete Account. Upon termination, your right to use the Service ceases immediately, and your data will be deleted as described in our Privacy Policy.

We may suspend or terminate your account at any time for violation of these Terms or as required by law. Where practical, we will provide advance notice.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in accordance with the JAMS Streamlined Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by email and/or a prominent notice on the Service. Your continued use after the effective date constitutes acceptance of the updated Terms.
